Job Purpose

  • To provide Board’s Secretariat and Legal Services to the agency

Key Responsibilities/ Duties / Tasks

Managerial / Supervisory Responsibilities 

  • Provide guidance to the Board on their duties and responsibilities and on  matters of governance.
  • Provide legal guidance on contractual and statutory obligations binding to  the Organization and legal duties for the Board.
  • Provide guidance on governance and adherence to statutory obligations.
  • Provide and interpret legal information, conducting training and disseminate  appropriate legal requirements to staff.
  • Safeguard the Agency’s interests and ensuring that they are adequately  defended before the courts.
  • Provides oversight to Management, review, and monitor progress of all  outstanding litigation.
  • Provides strategic leadership in liaison with the Agency’s appointed 
  • Advocates with a view to ensuring they act in the Agency’s interest while  handling cases on its behalf.
  • Ensure the Agency complies with constitutional, regulatory and all relevant  laws in force through the provision of legal advisory services and contractual  risks are efficiently managed.
  • Oversee the drafting, management, review and updating of all the Agency’s  codes, regulations, rules, guidelines, by-laws and treaties for consistency with  the constitution, each other, and also compliance with the National and  County Legal Frameworks.
  • Directs establishment and management the Agency’s Alternative Dispute Resolution Mechanism.
  • Guides Development of the Agency’s proactive and preventive legal policies  and strategies aimed at forestalling disputes, controversies and litigation.
  • Oversee the establishment and management of the Legal Registry.

Operational Responsibilities / Tasks 

  • Assist the Board in carrying out; Board induction and training, Updating the  Board and Committee charters, Preparation of Board work plans, Board  evaluation, Governance audit, Implementation of the code of conduct and  Ethics. 
  • Ensure that Board and Committee papers are circulated in advance of any  meeting. 
  • Coordinate litigations for the Agency.
  • Monitor’s the preparation of all Agency contracts, handle all litigation and  conveyance matters for the Agency 
  • Oversee the preparation of all Agency contracts, handle all litigation and  conveyance matters for the Agency 
  • Facilitate the development of all Bills and Policies that have bearing on the Agency’s mandate. 
  • Monitor’s the establishment and management of the Agency’s Securities  Register for the custody and maintenance of securities, bonds or other  proprietary instruments resulting from the Agency’s transactional activities, as  required. 
  • Implements Review different requests for approval, licenses both internal and  external for purposes of ascertaining legal soundness, make appropriate  recommendations and ensure proper implementation. 
  • Monitor’s documentation and maintaining of records of all enforcement and  compliance assignments undertaken by the Authority’s personnel and  develop legal accountability structures in relation to enforcement  assignments.

Working Conditions

  • Demanding. Long working hours. Occasional travel

Job Competencies (Knowledge, Experience and Attributes / Skills). 

Academic qualifications 

  • Bachelor of Laws degree from a recognized institution; 
  • Master’s Degree in any of the following disciplines; Law, Business  Administration, Public Administration, or equivalent qualifications from a  recognized institution; 
  • Postgraduate Diploma in Legal Studies from the Kenya School of Law; 
  • Admitted as an Advocate of the High Court of Kenya; 
  • Must be certified public secretary 
  • Fulfilled the requirements of Chapter Six of the Constitution

Professional Qualifications / Membership to professional bodies 

  • Member of the Law Society of Kenya
  • Member of the Institute of Certified Secretaries
  • Managerial course lasting not less than four (4) weeks from a recognized  institution;
  • Proficiency in computer application.

Previous relevant work experience required. 

  • A minimum period of ten (10) years relevant work experience three (3) of which  should have been in management in the Public or Private Sector;
